1. Acceptance
By installing the GMC Guardian Shopify app or using the GMC Guardian website, you accept these Terms of Service. If you don't agree, don't install the app - uninstalling it stops all data processing.
2. The service
GMC Guardian provides Google Merchant Center compliance scanning, suspension reinstatement assistance, and AI-driven feed corrections via the Merchant API. The service is delivered as a Shopify-embedded admin app and as content accessible from this website.
3. Subscription and billing
Recurring subscriptions are billed via the Shopify Billing API. Plans are documented at /pricing. Plan changes (upgrade or downgrade) take effect immediately with proration handled by Shopify. Cancellation is available at any time from your Shopify admin; access continues through the end of the current billing period.
One-time products (when offered) are billed via Shopify Billing API or via Stripe Checkout for non-Shopify merchants.
4. Free trial
Paid plans include a 14-day free trial. The trial begins on plan activation and converts to a paid subscription unless you downgrade to Free or uninstall before the trial ends.
5. Acceptable use
You agree not to:
- Use the service for any unlawful purpose or in violation of Google's Merchant Center Policies
- Attempt to circumvent the rate limits, plan tier restrictions, or restricted-category enforcement
- Reverse-engineer, copy, or resell the service
- Submit knowingly false information to evade Google's review systems (this also fails on Google's side; we don't help with this)
6. Restricted categories
For products in restricted categories (healthcare, pharma, finance, insurance, gambling, alcohol, weapons), the AI Feed Optimizer Auto-pilot mode is force-disabled regardless of plan. You retain full responsibility for legal compliance of any content published, including AI-suggested rewrites you choose to apply.
7. Data and privacy
Our handling of your data is governed by the Privacy Policy and, for enterprise customers, the Data Processing Agreement.
8. Service availability
We target 99.5% uptime. Scheduled maintenance is announced 7 days in advance when possible. We are not liable for downtime caused by Shopify, Google APIs, or other third-party services we depend on.
9. Liability
Our maximum aggregate liability is limited to the amount you paid us in the 12 months preceding the claim. We are not liable for indirect or consequential damages including lost revenue, lost data, or lost business opportunities, except where prohibited by law.
The service is provided "as is". We don't warrant that suspension reinstatements will succeed; success depends on factors outside our control (Google's review process, your store's actual compliance state, the specifics of your suspension).
10. Termination
You can uninstall and stop using the service at any time. We may terminate or suspend your access if you breach these terms, with notice when reasonable.
11. Governing law
These Terms are governed by the laws of the United States. Any dispute shall be resolved by the United States state and federal courts of the operating jurisdiction (full venue details available on written request to [email protected]), except where mandatory consumer protection law of your country of residence grants you a different forum - in particular, EU consumers retain their right to pursue claims in the courts of their member state of residence.
If you are a US resident, you agree that any dispute will be resolved through binding individual arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules, except for small-claims-court matters or actions to protect intellectual property. Class actions and class arbitrations are waived to the extent permitted by law.
12. Changes
Material changes to these Terms are posted on this page with a new effective date before they take effect. Continued use after the effective date constitutes acceptance.
